These Terms and Conditions (“Terms”) govern the use of services provided by Shafayet Tech, hereafter referred to as “the Agency,” to clients engaging in digital marketing, website development, design, and related services, hereafter referred to as “the Client.”
The Agency agrees to provide digital marketing, website development, design, and related services as outlined in the agreed-upon proposal or contract.
The Client agrees to provide timely feedback, materials, and approvals necessary for the Agency to complete the agreed-upon services. The Client is responsible for the accuracy and legality of all materials provided to the Agency.
The Client agrees to pay the Agency according to the terms outlined in the proposal or contract. Payments are due upon receipt of the invoice unless otherwise specified. Failure to pay may result in suspension of services or termination of the agreement.
The Agency retains ownership of all intellectual property developed during the provision of services unless otherwise agreed upon in writing. The Client is granted a non-exclusive license to use any deliverables solely for their intended purpose.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the provision of services.
Either party may terminate the agreement with written notice if the other party breaches these Terms. Upon termination, the Client is responsible for payment for all services rendered up to the termination date.
The Agency shall not be liable for any indirect, incidental, special, or consequential damages arising out of the provision of services, including but not limited to loss of profits, data, or business interruption.
The Client agrees to indemnify and hold harmless the Agency from any claims, damages, or losses arising out of the Client’s use of the services provided.
These Terms shall be governed by and construed under the laws of Jurisdiction. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Jurisdiction.
These Terms may be amended or modified only in writing and signed by both parties.
